Coinbase Moves Its Incorporation to Texas
Coinbase, the virtual currency exchange, announced on Wednesday that it will be reincorporating in Texas, moving away from Delaware for its business registration. This decision came after a majority of shareholders approved the shift, as noted in a regulatory filing.
Texas is increasingly seen as an attractive destination for companies in the U.S. to set up their operations. This perception is largely due to recent laws that foster a more favorable business climate, a friendlier tax structure, a relaxed regulatory environment, and the establishment of a specialized business court system.
In fact, several prominent companies have made similar moves to relocate their legal headquarters from Delaware, a trend some are referring to as “Dexit.”
Democratic Resolution on Cryptocurrency
Recently, House Democrats introduced a resolution aimed at preventing politicians from trading in digital assets, highlighting concerns over “cryptocurrency corruption.”
Tesla made headlines last year when it switched its state of incorporation to Texas, following a court ruling that invalidated CEO Elon Musk’s substantial compensation plan. In response, Musk famously advised not to incorporate in Delaware anymore.
Other companies, such as Trump Media & Technology, have opted for states like Florida, while some have chosen Nevada as their new home for incorporation.

Regulatory Landscape
As the largest publicly traded cryptocurrency exchange in the U.S., Coinbase views Texas as a state eager to attract crypto businesses through efficiency and regulatory clarity. Paul Grewal, Coinbase’s chief legal officer, commented on the long-standing reputation of Delaware for reliable court outcomes but noted the state’s recent struggles with unpredictable rulings.
He mentioned that state lawmakers in Delaware have attempted to tackle these inconsistencies, yet many in the business community feel it’s not sufficient.
In his remarks about Texas, he emphasized that it offers both efficiency and predictability, underlining its newly established business court system as creating a favorable legal environment for companies.
