of Federal Trade Commission (FTC) A federal district court on Monday launched a lawsuit to block the $25 billion merger of Kroger and Albertsons, arguing that the deal would undermine competition in the grocery store industry and harm consumers.
Kroger and Albertsons Kroger first announced the proposed merger in October 2022 and revealed its plans for the sale in September 2023. The two companies agreed to sell about 600 stores to C&S Wholesale Grocers Inc. pending regulatory approval of the deal. Kroger has also pledged to slash $1 billion in grocery prices after the deal closes, which would be the largest merger in the history of the grocery industry.
The FTC and several states filed suit to block the merger, arguing that it would raise grocery prices for consumers and reduce the bargaining power of unionized workers in the industry.
“Stopping this multi-billion-dollar transaction will help curb high food prices and preserve the robust competition that fosters improved quality and innovation,” FTC Chief Trial Counsel Susan Musser said in opening statements Monday.

He said the FTC’s efforts to block the deal show “that the industry and people in the industry don’t understand it,” adding that the merger would allow the stores to compete with rivals such as Walmart Inc., the largest U.S. grocery retailer, Costco Inc. and Amazon-owned Whole Foods.
