Negotiating a merger? Hovis and Kingsmill owners are discussing a significant agreement | Associated British Foods

Potential Merger of Major UK Bread Brands

The proprietors of Hovis and Kingsmill are in discussions that might result in a merger between two of the UK’s leading bread brands amid a challenging market landscape.

Following a report over the weekend, Associated British Foods (ABF), which owns Kingsmill’s parent company along with Primark, confirmed it’s engaged in negotiations with Endless, the private equity firm that owns Hovis. Last week, it expressed a willingness to explore strategic options for its business.

If a deal comes together, it would unite Kingsmill and Hovis, two of the UK’s most established supermarket bread brands, under one umbrella.

ABF informed shareholders, stating, “Allied bakeries continue to encounter a highly challenging market. We are assessing the strategic options for Allied bakeries against this backdrop, while remaining committed to enhancing long-term shareholder value.”

Last week, ABF reported declining sales at Allied Bakery for the 24 weeks ending March 1, affecting their recent results. Sliced bread manufacturers have been facing difficulties lately due to soaring wheat and energy costs, along with shifting consumer preferences.

As people trend towards reducing carbs and avoiding gluten, interest in bread seems to be waning in the UK. Instead, alternatives like protein pots, salad bowls, and sushi are gaining popularity. Additionally, sliced bread producers are feeling the heat from the artisan bread segment, which includes sourdough, and they’re under constant pressure to keep prices low in supermarkets.

Should this merger move forward, it’s likely to face scrutiny from competition regulators, given that it connects the UK’s second and third largest bread makers. Warburtons holds the title of market leader.

Established in 1876, Warburtons remains a private family business, actively managed by the fifth generation of the Warburton family. They’re well-known for their vibrant TV campaigns, even featuring Hollywood actor Robert De Niro.

Hovis was founded in 1890 and was acquired by Endless in 2020 from Premier Foods, which is recognized for the Mr Kipling brand.

The history of Allied Bakery dates back to 1935 when entrepreneur Willard Garfield Weston launched it alongside its sister operation, Ally Mills. It also owns brands like Allinson and Sunny. Allied Bakery comprises eight bakeries and six distribution centers stretching from Glasgow to London. ABF still has partial ownership by the Weston family and is led by George Weston.

The Sugar division of ABF is also encountering difficulties, and Primark recently saw a notable decline in its market share following disappointing UK sales.

On Tuesday, ABF’s shares fell nearly 1% in response to these developments.

An analyst from Panmure Liberum, Anubhav Malhotra, commented, “Despite considerable efforts in recent years to cut costs and restructure our operations, Allied Bakeries has struggled to achieve a sustainable transformation. A potential merger could unlock the significant cost efficiencies essential for transforming both businesses.”
