American Resources Corporation Reveals Price for $40.0 Million Private Placement of Common Stock

Fishers, Indiana / October 15, 2025 / American Resources Corporation (NASDAQ:AREC), a key player in the critical mineral supply chain, has announced that it has entered into securities purchase agreements with institutional investors for the sale of 7,843,138 shares of its Class A common stock (or pre-funded warrants in lieu of them) in a private placement at a price of $5.10 per share.

The company expects to raise approximately $40 million in gross proceeds from this offering before accounting for the agent’s commission and other related costs. The closing of the offering is anticipated around October 16, 2025, pending the usual closing conditions.

Maxim Group LLC is serving as the sole introducing agent for this offering.

This securities offering is being conducted in a private placement per Section 4(a)(2) of the Securities Act of 1933 and/or Regulation D, which means the securities haven’t been registered under the Securities Act or similar state laws. Therefore, they cannot be re-offered or sold in the U.S. unless through a valid registration statement or an exemption from those requirements. The Company plans to file a registration statement with the Securities and Exchange Commission to allow resale of the purchased securities.
