Dragonfly Energy Holdings Corp. Closes Major Stock Offering

RENO, Nev., Oct. 8, 2025 – Dragonfly Energy Holdings Corp. (NASDAQ: DFLI), a prominent player in energy storage and battery tech, announced today that it has completed the sale of 23 million shares of common stock at a price of $1.25 each. The transaction brought in around $28.75 million in gross proceeds, though this figure is before accounting for underwriting discounts, commissions, and various offering costs.

Canaccord Genuity took the lead as the primary bookrunner for this offering, with Roth Capital Partners assisting as co-manager.

The company plans to utilize the funds raised for working capital and general corporate needs. This includes repaying $4 million owed on a term loan, investing in initiatives aimed at driving profitability in the near term, and further developing the next generation of battery technology. Specifically, they are looking to expand on dry generation electrode processes and explore indigenous battery applications.

This offering was conducted under a shelf registration statement on Form S-3 (File No. 333-275559), which received approval from the Securities and Exchange Commission (SEC) on November 24, 2023.
